ELECTRONIC LICENSE AGREEMENT

NOTICE: THIS IS A CONTRACT

BY ACCEPTING AND/OR USING GAMETIME-A Division of PlayCore, Inc. DWG Drawings YOU ARE CONSENTING TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT. THESE ARE THE ONLY TERMS UNDER WHICH GAMETIME WILL LICENSE ITS DRAWINGS FOR YOUR USE.

GameTime grants to a registered user a nonexclusive, limited license to use the Drawing, provided the registered user agrees to: (1) accept the following terms and conditions; and (2) registers to use the Drawing with GameTime.

1.	Use of the Drawing.
A registered user may: (a) install the Drawing in multiple locations providing the Drawing is in use by the registered user only and is in use in only one location at any one time; (b) install and use the Drawing on a file server for use on a network for the purpose of installation onto hard disks or other storage devices or use the Drawing over such network, provided the Drawing is not copied to any locations outside of the network and is used only for internal network use and only by registered users.

A registered user may use the Drawing: (i) solely to develop applications for GameTime products and so long as (ii) the Drawing and any accompanying documentation (such as an Instruction Manual) retains the same copyright and other proprietary notices that appear on or in the Drawing.

2.	Copyright.
The Drawing is owned by GameTime, and the Drawing structure, organization and code are the valuable trade secrets of GameTime. The Drawing is also protected by copyright law and international treaty provisions. You agree not to modify, adapt, translate, reverse-engineer, decompile, disassemble or otherwise attempt to discover the source code of the Drawing. You may use GameTime trademarks only to identify printed output produced by the Drawing, in accordance with accepted trademark practice, including identification of GameTime as the owner of the trademarks. Such use of any trademark does not give you any rights of ownership in that trademark. Except as stated above, this Agreement does not grant you any intellectual property rights in the Drawing.

3.	No Warranty.
The Drawing is provided to you "AS IS," and you acknowledge that it may contain errors. GameTime disclaims any warranty or liability obligations to you of any kind.

GAMETIME DOES NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE DRAWING OR DOCUMENTATION. GAMETIME MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE.

IN NO EVENT WILL GAMETIME BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS ARISING OUT OF THE USE OR INABILITY TO USE THE DRAWING, WHETHER BASED ON BREACH OF WARRANTY OR OTHER CONTRACT BREACH, NEGLIGENCE OR OTHER TORT OR ON ANY STRICT LIABILITY THEORY, EVEN IF A GAMETIME REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.

4.	Governing Law and General Provisions.
This Agreement will be governed by the laws of the State of Alabama, U.S.A., excluding the application of its conflicts of laws rules. All disputes arising hereunder shall be submitted to the exclusive jurisdiction of the federal or state courts located in the State of Alabama. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. You agree that the Drawing will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations.

This Agreement shall automatically terminate upon failure by you to comply with its terms.

This Agreement may only be modified by a writing signed by an authorized officer of GameTime.
